⚖️ In the case of a company director embezzling his or her own funds, can shareholders in the company have the right to complain and file criminal charges?
📘 Rule 7626 / 2025, the case is an offence committed against a legal entity, which, according to the P.D. Section 5 (3) provides that the manager or other representative of the legal entity shall prosecute instead. When a defendant who is an authorized director acting on behalf of the company is an offender against the company (embezzlement) which is the legal entity itself, he shall not prosecute on behalf of the legal entity to accuse himself. The joint plaintiff as a shareholder of the company and has a direct interest in the earnings with the legal entity shall be damaged. The joint plaintiff who is a shareholder in the company shall be the victim, and he shall sue the investigator. This is an offence against the personal person, so that the joint plaintiff who is a shareholder is the victim has lawfully complained. The interrogator has the authority to investigate, and the plaintiff has the authority to sue under Section 120 of Section 121, paragraph two.
🔍 Remarks
1. The offence of embezzlement is an offence against the private.
2. A lawsuit against a private prosecutor. The person who can complain to the interrogator must be the victim. A complaint under the regulations is important in the prosecutor's criminal prosecution. Section 120 lays down that the prosecutor is prohibited from filing a case before the court without having to investigate the offence. Therefore, the key condition for the prosecutor to be able to file the case is that the case must first be investigated for the offence. The case is an offence against the public. According to Section 121, the investigation is prohibited unless there is a complaint under the regulations. Therefore, the complaint may affect the prosecutor's indictment authority.

จากประสบการณ์ส่วนตัวและการศึกษากฎหมายวิธีพิจารณาความอาญา ทำให้ผมเห็นชัดว่าการที่กรรมการบริษัทยักยอกทรัพย์ของนิติบุคคลนั้น ส่งผลกระทบต่อนิติบุคคลและผู้ถือหุ้นโดยตรง เพราะเงินที่ถูกยักยอกนั้นถือเป็นทรัพย์สินของบริษัทซึ่งผู้ถือหุ้นมีส่วนได้เสีย ด้วยเหตุนี้กฎหมายจึงเปิดให้ผู้ถือหุ้นสามารถเป็นผู้ร้องทุกข์และฟ้องคดีอาญาได้ ในฐานะผู้เสียหายโดยตรง ผมเคยมีโอกาสติดตามคดีที่ใช้หลักกฎหมายตาม ป.วิ.อ. มาตรา 120 และ 121 อย่างเข้มงวด ซึ่งในคดีความผิดต่อส่วนตัว เช่น ยักยอกทรัพย์ ต้องมีการร้องทุกข์ต่อพนักงานสอบสวนก่อนจึงจะสามารถดำเนินคดีต่อไปได้ นอกจากนี้ การที่กรรมการเป็นผู้กระทำผิดแทนนิติบุคคลเอง ทำให้เหมือนกับว่าเขาไม่สามารถฟ้องร้องนิติบุคคลแทนตัวเองได้ การเปิดโอกาสให้ผู้ถือหุ้นฟ้องร้องนั้นจึงเป็นจุดสมดุลสำคัญเพื่อปกป้องผลประโยชน์ของบริษัทและผู้ถือหุ้น สิ่งสำคัญที่เรียนรู้คือการเข้าใจสิทธิ์ในฐานะผู้ถือหุ้น ว่าแม้จะไม่ได้เป็นผู้จัดการบริษัทโดยตรง แต่เมื่อได้รับความเสียหายจากการยักยอกทรัพย์ ก็มีสิทธิเกี่ยวข้องตามกระบวนการยุติธรรมอย่างชัดเจน และการใช้กระบวนการร้องทุกข์ตามระเบียบให้ถูกต้องตามกฎหมายจะเป็นประโยชน์ในการปกป้องสิทธิและนำความยุติธรรมมาสู่บริษัทของตนเองอย่างแท้จริง
