7. Capital market transactions 📈📉

🧮 when I was a stock exchange officer, I considered who was calling to consult, and I would find answers so many times that I asked the SEC or the Commerce Department, and I thought I knew a lot, but when I entered Law Firm, I understood that "know" alone was not enough. It was important to implement the transaction, to convert knowledge into a clear action plan and to move forward every step of the way.

🗂️ transactions I've been involved in range from IPO funding and Private Placement to deals with overseas offerings in accordance with Rule 144A or Reg S. Every deal has to work alongside FA and Investment Banker on a day-to-night basis. From Due Diligence, company restructuring, board meetings and shareholders, filing prospectus, disclosing information, to market entry day and rattling the first bell - all fatigue becomes an unforgettable memory.

💼 another common line of work is M & A and Takeover, which is equally brutal because the timeline has to make a continuous Thai-English disclosure. Big deals sometimes have to send 30-40 documents. Used to be the heaviest, worked until three o'clock, took a nap for 15 minutes, woke up and continued around until the sky was bright, until I teased my partner, "When you choose a Banking lawyer, you choose beautiful, but when you are a capital market, you have to ask how many days of sleep deprivation."

🗄️ five years in Law Firm was intense learning. It taught me to cross the limits myself. Seeing both big deals, small deals, cross-border deals that had to work with foreign teams and come across different timezones. Really, I didn't expect to do it for much longer, but eventually there was a turning point in life to decide.

ในธุรกรรมตลาดทุนหรือ Capital transaction market นั้นไม่ใช่แค่การวางแผนหรือการประเมินความเสี่ยงเท่านั้น แต่ยังเป็นการดำเนินงานที่ต้องใช้ความละเอียดและความร่วมมือจากหลายฝ่ายอย่างเข้มข้น เช่น เจ้าหน้าที่ ก.ล.ต. (สำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์) และหน่วยงานที่เกี่ยวข้องในกระทรวงพาณิชย์ เพื่อให้ทุกขั้นตอนเป็นไปตามกฎหมายและระเบียบข้อบังคับอย่างเคร่งครัด หนึ่งในหลักการสำคัญของการทำธุรกรรมตลาดทุน คือการเปลี่ยนความรู้และข้อมูลที่ซับซ้อนให้กลายเป็นแผนปฏิบัติ (action plan) ชัดเจนและสามารถเดินหน้าได้จริงในแต่ละขั้นตอน ซึ่งต้องอาศัยประสบการณ์และการสื่อสารที่ดีระหว่างทีมทนายความ FA (Financial Advisor) และ Investment Banker เพื่อให้การ Due Diligence การประชุมบอร์ด รวมถึงการเปิดเผยข้อมูล (disclosure) เป็นไปอย่างครบถ้วนและโปร่งใส ความท้าทายของการทำดีลระดมทุนทั้ง IPO และ Private Placement ไม่ได้จำกัดเฉพาะในประเทศเท่านั้น ยังรวมถึงการเสนอขายหลักทรัพย์ในต่างประเทศตามกฎเกณฑ์ 144A และ Reg S ซึ่งซับซ้อนและต้องทำงานข้ามพรมแดน ทำให้ต้องประสานงานกับทีมต่างประเทศที่มีโซนเวลาต่างกัน ต้องเตรียมเอกสารและรายงานอย่างละเอียด เช่น prospectus และ filing ที่ต้องส่งตามกำหนด ในด้านอื่น ๆ เช่น ดีล M&A (Mergers & Acquisitions) และ Takeover ที่มีไทม์ไลน์เร่งรีบมาก ก็ต้องทำ disclosure ทั้งภาษาไทยและอังกฤษต่อเนื่อง บางดีลใหญ่มีเอกสารมากถึง 30–40 ฉบับ การทำงานหนักในช่วงเวลานี้เป็นเรื่องปกติของนักกฎหมายตลาดทุนมืออาชีพ ซึ่งต้องมีความอดทนและทุ่มเทเต็มที่จนบางครั้งต้องทำงานจนถึงตีสามหรือนอนพักเพียง 15 นาที การทำงานในธุรกรรมตลาดทุนนั้นจึงไม่ใช่แค่การรู้รายละเอียดทางกฎหมายเท่านั้น แต่เป็นการนำความรู้นั้นมาประยุกต์ใช้แบบมืออาชีพ พร้อมการจัดการทีมและทำให้ทุกขั้นตอนเดินหน้าได้จริงจนธุรกรรมสำเร็จ เพราะในตลาดทุน การสั่นกระดิ่งวันแรกที่เข้าจดทะเบียนในตลาดหลักทรัพย์เป็นเหมือนสัญลักษณ์ของความสำเร็จที่เต็มไปด้วยความเหนื่อยล้าแต่คุ้มค่าที่สุด
