Pledged to rent over 30 years

The plaintiff entered into a contract incorporating the first 30-year lease, but determined that the plaintiff would rent two more times for 30 years at a time. On the same day, the defendant also paid the lease twice for 30 years at a time. As mentioned above, there is no new rental details. The new lease terms, despite the fact that the lease term lasts for 30 years, will continue for 2 tenancies for 30 years at a time, for a total of 90 years. Normally, the condition of the land, the state of the economy, will change over time, but the plaintiff's commitment is equal to the original rental rate. In all respects, it is clear that the plaintiff wishes to avoid Section 540, which prohibits rentals for more than 30 years, and therefore the contract of a pledge to renew the lease for two more times for 30 years is void because the purpose is clearly contrary to the law, and the case may not be interpreted as a contract of rights between the plaintiff and the defendant to continue to apply as the Supreme Defendant, because otherwise the purpose of Section 540 would be unforced.
จากคำพิพากษาศาลฎีกาที่ 4655/2566 ทำให้เราเห็นความสำคัญของข้อจำกัดระยะเวลาในการทำสัญญาเช่าที่ดินตามประมวลกฎหมายแพ่งและพาณิชย์ หมายเลข 540 ซึ่งชัดเจนว่าการให้เช่าระยะยาวเกิน 30 ปีนั้นไม่ได้รับอนุญาตและถือเป็นโมฆะ นอกจากจะขัดต่อกฎหมายแล้ว ยังมีผลต่อความมั่นคงในสิทธิของผู้เช่าและเจ้าของที่ดินด้วย จากประสบการณ์ส่วนตัวที่ผ่านมา พบว่าในหลายกรณีสัญญาที่ดูเหมือนจะยาวนานนั้นอาจมีรายละเอียดหรือเงื่อนไขที่ไม่ชัดเจน เช่น ไม่มีการกำหนดค่าเช่าใหม่หรือเงื่อนไขเกี่ยวกับการต่อสัญญา ซึ่งเป็นสิ่งที่ควรระวัง เพราะในทางกฎหมายจะทำให้สัญญาส่วนนั้นไม่ได้รับการยอมรับ ส่วนหนึ่งเพราะสภาพเศรษฐกิจและความเจริญของที่ดินเปลี่ยนแปลงไปตามเวลา ทำให้การร้อยเรียงสัญญาแบบเดิมยาวเกินไปอาจไม่ได้สอดคล้องกับสถานการณ์จริง จึงแนะนำให้ผู้ที่สนใจทำสัญญาเช่าที่ดินหรืออสังหาริมทรัพย์ระยะยาวทำความเข้าใจกับกฎหมายและที่สำคัญควรขอคำปรึกษาจากผู้เชี่ยวชาญทางกฎหมายเพื่อให้สัญญามีความถูกต้องและไม่ถูกตีความว่าเป็นโมฆะ นอกจากนี้ยังช่วยป้องกันปัญหาที่อาจเกิดขึ้นในอนาคต เช่น ความไม่มั่นคงในการถือสิทธิ์ หรือข้อพิพาทระหว่างผู้ให้เช่าและผู้เช่าในกรณีที่สัญญามีเงื่อนไขไม่ชัดเจน ทั้งนี้ สำหรับใครที่อยู่ในสถานการณ์ต้องเจรจาหรือทำสัญญาเช่าระยะยาว การทำความเข้าใจในมาตรา 540 และกฎหมายที่เกี่ยวข้อง จะช่วยให้การทำสัญญามีประสิทธิภาพและเป็นไปอย่างถูกต้องตามกฎหมายมากขึ้น และป้องกันปัญหาที่อาจตามมาได้อย่างดี
