Lesson 14: Fall dead horse because of Insider Trading
There has been big news about Insider Trading lately - some chief executives have been punished, and many still wonder, "What's wrong?"
The core of this law comes from Information Asymmetry, or "information asymmetry."
When an insider, such as a director, executive, or consultant, has information that is not yet public, such as a capital increase, merger, or major structure change, and then buys or sells the stock.
→ That is to use "unfair advantage" against public investors.
Because on the stock exchange, everyone has to be based on equal information.
Therefore, the law prohibits Insider, including a spouse, child, or even a Tippee, from trading shares during undisclosed information.
And it's also wrong, even if it's not the one who did it, if it's the informant, it's guilty.

EP.04 Trading Insider Work Survival Lite Insider Trading หรือการใช้ข้อมูลภายในที่ยังไม่เปิดเผยเพื่อซื้อขายหุ้นเป็นเรื่องที่ตลาดหลักทรัพย์ทั่วโลกให้ความสำคัญอย่างมาก เพราะส่งผลกระทบต่อความเป็นธรรมในตลาดการเงิน การที่ผู้บริหาร กรรมการ หรือบุคคลใกล้ชิด เช่น คู่สมรสและบุตร ใช้ข้อมูลลับในการซื้อขายหุ้น นอกจากจะผิดกฎหมาย ยังทำลายความเชื่อมั่นของนักลงทุนทั่วไปที่ไม่ได้รับข้อมูลนั้น ๆ การละเมิดกฎหมายนี้จึงถือเป็นการใช้ความได้เปรียบที่ไม่เป็นธรรม (Information Asymmetry) ที่ตลาดหลักทรัพย์พยายามป้องกัน ในแง่ของการปฏิบัติ ผู้ที่ได้รับข้อมูลข้างต้น (Tippees) และผู้ที่ให้ข้อมูล (Tippers) ต่างก็มีความผิดหากทำการซื้อขายหุ้นในช่วงที่ข้อมูลดังกล่าวยังไม่เผยแพร่สู่สาธารณะ สิ่งนี้สะท้อนให้เห็นถึงความรุนแรงและความละเอียดอ่อนของกฎหมาย Insider Trading ส่วนใหญ่กรณีที่เกิดขึ้นในชีวิตจริงมักมาจากความประมาทหรือความไม่ระมัดระวัง ไม่ใช่เพราะไม่รู้กฎหมาย แต่ละเลยว่าการกระทำของตนอาจถูกเปิดเผยและนำมาซึ่งบทลงโทษที่ร้ายแรง ทั้งทางการเงินและชื่อเสียงที่อาจสูญเสียไปอย่างถาวร เพื่อป้องกันและลดความเสี่ยงดังกล่าว ผู้บริหารและบุคลากรที่อยู่ในสถานะ Insider ควรมีความรู้ความเข้าใจในข้อกฎหมายที่เกี่ยวข้องอย่างถี่ถ้วน และควรหลีกเลี่ยงการซื้อขายหุ้นในช่วงที่มีข้อมูลภายในที่ยังไม่เปิดเผย นอกจากนี้การมีนโยบายการเปิดเผยข้อมูลที่ชัดเจนและระบบภายในองค์กรที่มีประสิทธิภาพสามารถช่วยลดโอกาสการเกิด Insider Trading ได้มากขึ้น ในฐานะนักลงทุนทั่วไป การตระหนักรู้และติดตามข่าวสารเกี่ยวกับการดำเนินคดี Insider Trading จะช่วยให้สามารถวางแผนการลงทุนได้อย่างรอบคอบและไม่ตกเป็นผู้เสียหายจากการที่ตลาดได้รับข้อมูลที่ไม่เป็นธรรม บทเรียนจาก Insider Trading จึงไม่เพียงแค่เรื่องกฎหมายเท่านั้น แต่ยังเป็นเรื่องของจริยธรรม การรักษาชื่อเสียง และการสร้างความไว้วางใจในตลาดทุนที่ทุกฝ่ายสามารถแข่งขันได้บนข้อมูลที่เท่าเทียมกัน
