Big restructure PTT. Manage assets through PTT Tank.
PTT went ahead to restructure its infrastructure business and assigned PTT Tank to be rigged and set up a new 100% stake subsidiary to engage in asset transactions such as buying and leasing back and receiving services from group companies to maximize asset management according to the Asset Monetization Strategy.
The main transaction consists of buying the property and leasing it back from PTT Global Chemical Co., Ltd. or PTTGC, and co-forming a new joint company with Thai Oil Co., Ltd. or TOP. PTT Tank's subsidiaries will hold 49% and TOP holds 51% to carry out a 21-year long-term lease on the property and sublease it back for operational use.
PTT Tank is also preparing to purchase the common shares of Thai Tank Terminal Limited from PTTGC in a proportion of approximately XXXL% to strengthen the property management capacity in its liquid cargo storage and handling business, with the entire project gradually completed from December 2025 to the first quarter of 2026.
According to PTT Chief Executive Officer Dr. Invinth Introduction, the Asset Monetization Strategy aims to maximize group assets, build Synergy, and increase capital efficiency, while pushing for a new business model in Energy Infrastructure, remaining committed to the country's energy security role.
Miss Phatalda Glamour, Chief Financial Officer, PTT, added that the transaction will strengthen the business of PTT and its group companies, PTTGC and TOP, to receive increased cash flow and to recognize extra profit from the transaction without compromising the operations of each company.
The PTT asserts that it will continue to leverage its assets to run its business, maximize shareholder returns and strengthen investor confidence.
การปรับโครงสร้างโครงการธุรกิจของ ปตท. ผ่าน PTT Tank ในครั้งนี้ เป็นการดำเนินงานที่ตอบโจทย์กลยุทธ์ Asset Monetization หรือการแปลงสินทรัพย์ให้กลายเป็นรายได้อย่างมีประสิทธิภาพ โดย PTT Tank จะทำหน้าที่เป็นศูนย์กลางในการบริหารสินทรัพย์ เช่น การซื้อและให้เช่ากลับ (Sale and Leaseback) ซึ่งช่วยเพิ่มสภาพคล่องให้กับบริษัทแม่และบริษัทย่อยในเครืออย่าง PTTGC และ ไทยออยล์ การบูรณาการนี้เน้นสร้าง Synergy ระหว่างบริษัทในกลุ่มเพื่อลดต้นทุนและเพิ่มประสิทธิภาพการดำเนินงาน รวมถึงส่งเสริมความมั่นคงทางพลังงานของประเทศในระยะยาว นอกจากการตั้งบริษัทย่อยถือหุ้น 100% และการร่วมทุนกับไทยออยล์แล้ว PTT Tank ยังมุ่งเน้นการซื้อหุ้นในบริษัท ไทยแท้งค์เทอร์มินัล จำกัด เพื่อขยายศักยภาพด้านการจัดเก็บและขนถ่ายสินค้าเหลวอย่างครบวงจร ซึ่งเป็นธุรกิจโครงสร้างพื้นฐานที่มีความสำคัญต่ออุตสาหกรรมพลังงาน การเพิ่มประสิทธิภาพบริหารจัดการสินทรัพย์เหล่านี้ จะส่งผลให้ ปตท. สามารถรับรู้กำไรพิเศษและกระแสเงินสดเพิ่มขึ้น โดยไม่มีผลกระทบต่อการดำเนินงาน นอกจากนี้ การบริหารสินทรัพย์ในรูปแบบนี้ยังช่วยเพิ่มความเชื่อมั่นให้กับนักลงทุนและผู้ถือหุ้นด้วย การเปลี่ยนแปลงโครงสร้างนี้ยังสะท้อนถึงทิศทางการพัฒนาโมเดลธุรกิจใหม่ในด้าน Energy Infrastructure ซึ่งมีบทบาทสำคัญในการรองรับการเปลี่ยนแปลงของตลาดพลังงานโลก นับเป็นก้าวสำคัญที่ช่วยยกระดับความแข็งแกร่งของระบบพลังงานภายในประเทศ เพื่อรองรับความต้องการพลังงานที่เพิ่มขึ้นในอนาคต และสนับสนุนการขยายตัวของเศรษฐกิจไทยอย่างยั่งยืน ดังนั้น โครงการของ ปตท. ที่มอบหมายให้ PTT Tank เป็นหัวหอกบริหารโครงสร้างพื้นฐานนี้ ไม่เพียงแต่เป็นการบริหารสินทรัพย์ที่มีประสิทธิภาพ แต่ยังเป็นกลยุทธ์ที่สอดคล้องกับแนวโน้มโลกและตอบสนองต่อความต้องการด้านพลังงานอย่างครบวงจร ทำให้ ปตท. ยังคงบทบาทสำคัญในฐานะผู้สร้างความมั่นคงทางพลังงานของประเทศไทยได้อย่างยั่งยืน
